Terms of Service

Effective October 4, 2026

1. Acceptance of Terms

By using lucitra.ai, the visibility scan, or Agent Teams (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") of Lucitra, Inc. ("Lucitra," "we," or "us"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you may not use the Services.

2. The Services

• The website: information about the AI products, AI systems and websites we build, and a contact form for booking a call. It has no accounts.
• The visibility scan: a free tool that fetches the public pages of a domain you enter, the way an AI crawler does, and shows what it found. It needs no account and stores no results.
• Agent Teams: software you install and run on your own computer, which coordinates a team of AI agents that plan, build and review work in your repositories. It has not been released yet.

We may change, suspend, or discontinue any part of the Services with reasonable notice.

3. Engagements

Work we do for a client is governed by the written scope and agreement we both sign. If that agreement conflicts with these Terms, the agreement controls for that work.

4. Agent Teams

• Agent Teams runs without an account. Agents work on a copy of your project and finish by opening a pull request; a person merges it. A team policy you set can hold a push for your review.
• It runs on an AI runtime you supply and pay for directly, such as Claude Code, Codex or goose. We do not resell model capacity, and your use of those runtimes is governed by your agreement with their provider.
• Credentials you supply for other services, such as a runtime subscription or a code host, stay in your own environment. We do not store them.
• Agent Teams is pre-release software. You are responsible for reviewing what agents produce before you merge, deploy or publish it.

5. Messaging Channels

You may connect a mobile number or a push topic so agents can reach you away from your computer. Messages are sent only about work you started.

• You add your own destination and prove it by entering a code sent to it. Until you do, nothing but that code is sent
• Text messages are sent through a messaging account you connect yourself, such as your own Twilio account. Lucitra does not send them
• Message frequency depends on your own activity. Message and data rates may apply
• Revoke the channel in Agent Teams and nothing further is sent to it. Your provider's own opt-out handling, such as replying STOP, also applies
• Do not add a destination that is not yours

6. Ownership

• Your data: You retain all rights to your projects, your project memory, and anything agents produce from them. The project memory is Markdown in a repository you own; we do not hold a copy.
• Our Services: Lucitra owns the website, the visibility scan, the Agent Teams software and their content, design and trademarks.
• Engagement work: Ownership of what we build for a client is set by that client's agreement with us.

7. Third-Party Services

• AI runtimes and model providers. Your use of them is governed by your agreement with that provider, and any usage charges are between you and them.
• Your own accounts. Where you connect a service, such as a code host or your own messaging provider, you supply the credentials, they stay in your environment, and the connection is yours to revoke.
• Availability. A third party changing or withdrawing its service can stop a capability working. We will say so where we can, and cannot guarantee against it.

8. Acceptable Use

Your use of the Services is subject to our Acceptable Use Policy, which is incorporated by reference into these Terms. You agree to comply with all applicable laws and regulations when using the Services.

9. Availability

The website, the visibility scan and Agent Teams are provided as they are, without an uptime commitment. The scan limits how many scans one address can run. Service levels for engagement work are set in that engagement's agreement.

10. Limitation of Liability

Results are advisory. Scan results and the output of AI agents can be incomplete or wrong. You are responsible for your own testing, evaluation, and deployment decisions.

To the fullest extent permitted by law, Lucitra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability shall not exceed the fees you paid to Lucitra in the twelve months preceding the claim.

11. Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms that cannot be resolved through good-faith negotiation shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted remotely by video conference unless both parties agree otherwise in writing. Each party shall bear its own costs. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

12. Changes to These Terms

We will post changes here and update the effective date at the top of this page.
