Terms of Service

1. Acceptance of Terms
By accessing or using this website, engaging Lucitra, Inc. ("Lucitra," "we," "us," or "our") for services, or using Agent Teams (together, the "Services"), you agree to these Terms of Service ("Terms"). If you are acting on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
2. The Services
Lucitra provides:
- Software development. Product engineering delivered under a written engagement agreement.
- Applied research. Evidence synthesis, technical due diligence, and prototypes, delivered under the same.
- Agent Teams. Our platform for putting agents on scoped work with budgets, audit, and human approval. In development.
We may modify, suspend, or discontinue any part of the Services with reasonable notice. Changes to a signed engagement are governed by that agreement, not by this section.
3. Engagements
Services work is performed under a separate written agreement covering scope, fees, deliverables, and confidentiality. These Terms govern your use of the website and any access to Agent Teams. Where an engagement agreement conflicts with these Terms, the engagement agreement controls.
Work is delivered by a small human team using AI agents. Every irreversible step, including merges, deploys, publishing, and spend, requires human approval. You review the actual work product before it lands.
4. Accounts and Credentials
You are responsible for the security of your account credentials and any keys you issue to us or to the platform.
- Notify us immediately of any unauthorized access
- You are responsible for activity under your account, including activity by teammates you add
- Access granted to an agent or a team is scoped and can be revoked by you at any time
- Administrators are responsible for managing member access and permissions
5. Data Ownership and Intellectual Property
Your data. You retain all ownership rights to the data you bring into the Services, including repositories, documents, configurations, and the audit records generated from your work.
Deliverables. Ownership of work product created in an engagement is set by that engagement agreement. Our default is that you own what we build for you on payment.
Our platform. Lucitra retains all rights to Agent Teams itself, including its orchestration and governance implementation, interfaces, and documentation.
Aggregated data. We may use anonymized, aggregated operational metrics, such as reliability and throughput statistics, to improve the Services. These aggregates never contain your configurations, your content, or identifying information. We do not train models on your data.
6. Acceptable Use
Your use of the Services is subject to our Acceptable Use Policy, incorporated into these Terms by reference. Processing of personal data on your behalf is governed by our Data Processing Agreement.
7. Availability and Support
- Engagements. Response times, support channels, and any service commitments are set in your engagement agreement.
- Agent Teams. In development. Where access is granted it is provided as-is, with best-effort availability and no uptime commitment.
- This website. Provided as-is and may change at any time.
8. Limitation of Liability
Agent output requires review. The Services execute work using AI agents under governance controls, but those controls do not guarantee that any output is correct. That is why human approval is required before anything irreversible, and why you review the actual artifact. You remain responsible for your own testing, evaluation, and deployment decisions.
To the fullest extent permitted by law, Lucitra is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability will not exceed the fees you paid to Lucitra in the twelve months preceding the claim.
9. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Disputes that cannot be resolved through good-faith negotiation will be resolved by binding arbitration in Houston, Texas, administered by JAMS under its Streamlined Arbitration Rules, with each party bearing its own costs. Nothing here prevents either party from seeking injunctive relief in a court of competent jurisdiction.
