Terms of Service

Effective Date: March 1, 2026

Table of Contents

1. Acceptance of Terms

By accessing or using Lucitra Validate, the Lucitra API, CLI, dashboard, MCP server, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you may not use the Services.

2. Description of Services

Lucitra Validate is an API-first platform for validating synthetic training data used in robotics and autonomous systems. The Services include:

  • Validation API: RESTful API for uploading datasets and retrieving validation reports
  • Web Dashboard: Browser-based interface for viewing reports, comparing runs, and managing projects
  • Command-Line Interface (CLI): npm-published tool for scripting validation into build pipelines
  • MCP Server: Model Context Protocol server for AI-powered development workflow integration
  • GitHub Action: CI/CD integration for automated validation on dataset changes

We reserve the right to modify, suspend, or discontinue any aspect of the Services with reasonable notice.

3. User Accounts & API Keys

You are responsible for maintaining the security of your account credentials and API keys. API keys are prefixed with luci_ and should be treated as sensitive credentials.

  • You must notify us immediately of any unauthorized access to your account or API keys
  • You are responsible for all activity under your account, including activity by teammates added to your organization
  • You may revoke API keys at any time via the dashboard or API
  • Organization administrators are responsible for managing member access and permissions

4. Data Ownership & Intellectual Property

Your data: You retain all ownership rights to the synthetic datasets you upload and the validation reports generated from them. Lucitra claims no ownership over your datasets or reports.

Our services: Lucitra owns all rights to the validation algorithms, scoring models, user interface, API design, and other intellectual property comprising the Services.

Aggregated data: We may use anonymized, aggregated metrics derived from validation results (such as average scores across all customers) to improve our algorithms. These aggregates never contain individual dataset content or identifying information.

5. API Usage & Rate Limits

API usage is subject to the rate limits and quotas of your subscription tier:

  • Free tier: 5 validation runs per month, 1 project
  • Enterprise tier: Unlimited runs and projects, with custom rate limits agreed in your service agreement
  • All tiers are subject to fair use. Automated scripting that generates excessive load without legitimate validation purpose may be throttled.
  • Burst allowances are provided for CI/CD pipeline integration

6. Acceptable Use

Your use of the Services is subject to our Acceptable Use Policy, which is incorporated by reference into these Terms. You agree to comply with all applicable laws and regulations when using the Services.

7. Service Level

  • Enterprise customers: 99.9% uptime SLA for the Validation API, 24-hour response time for critical issues, dedicated support channel
  • Free tier: Best-effort availability with no uptime guarantee. Support provided via community channels.
  • Scheduled maintenance windows will be communicated at least 48 hours in advance

8. Limitation of Liability

Validation scores are advisory. Lucitra Validate provides quantitative assessments of synthetic dataset quality, but these scores do not guarantee that a dataset will produce a model suitable for any specific use case. You are responsible for your own testing, evaluation, and deployment decisions.

To the fullest extent permitted by law, Lucitra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Services. Our total liability shall not exceed the fees you paid to Lucitra in the twelve months preceding the claim.

9. Governing Law

These Terms shall be governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms that cannot be resolved through good-faith negotiation shall be resolved through binding arbitration in Austin, Texas, administered by JAMS under its Streamlined Arbitration Rules. Each party shall bear its own costs. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
